Business Brokers Hub Website Terms of Use & Platform Usage Agreement

1. Introduction

Business Brokers Hub (Pty) Ltd (“Business Brokers Hub”, “we”, “us” or “our”) is a private company registered in the Republic of South Africa. These terms and conditions (the “Terms”) apply to all users (“you” or “User”) who access or use Business Brokers Hub’s public website located at https://bbhub.co.za and any associated services, content, features, applications or tools that form part of our online platform (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms, you should cease using the Platform immediately.

2. Acceptance of Terms

These Terms become effective when you access the Platform and constitute a binding agreement between you and Business Brokers Hub. The current version of these Terms will govern our respective rights and obligations each time you access the Platform. You agree that your continued use of the Platform following any updates to these Terms constitutes your acceptance of the updated Terms. If you do not agree with any provision of these Terms, please do not use the Platform.

3. Eligibility & Lawful Use

You warrant that you are at least 18 years old and have the legal capacity to conclude a binding agreement with Business Brokers Hub. Your use of the Platform must be for lawful purposes only. You agree that you will not contravene any applicable South African or international laws when using the Platform. Except as expressly authorised by these Terms, you may not use, alter, copy, distribute or transmit any content on the Platform.

4. Registration & Accounts

To access certain features of the Platform, you may be required to register an account. When registering, you must provide accurate, current and complete information. You are responsible for safeguarding your login credentials and all activities that occur under your account. You undertake to keep your username, password and any one-time PIN confidential, and you will be liable for all activities conducted using your login credentials, whether authorised or not. You must notify us immediately of any unauthorised use of your account.

5. Permitted & Prohibited Conduct

You agree not to do any of the following when using the Platform:

• Use the Platform for any unlawful, fraudulent or malicious purpose or to solicit others to perform or participate in illegal acts.
• Upload, transmit or distribute any viruses, malware or other harmful code that may compromise the security or functionality of the Platform or any user’s device.
• Send unsolicited or unauthorised advertising, promotional materials, spam, junk mail or other forms of solicitation.
• Attempt to gain unauthorised access to the Platform, user accounts or computer systems or networks connected to the Platform through hacking, password mining or any other means.
• Harass, threaten, abuse, defame, stalk or otherwise violate the rights (including privacy and intellectual property rights) of any person.
• Copy, modify, distribute, sell or lease any part of the Platform or Content without our prior written consent, except as expressly permitted by these Terms.

6. Intellectual Property & Ownership

The Platform and all materials and content made available on it, including but not limited to software, source code, databases, text, graphics, logos, icons, designs, trademarks and service marks (collectively, the “Content”), are owned by or licensed to Business Brokers Hub and are protected by intellectual property laws. Except for User Content (defined below), you acknowledge and agree that Business Brokers Hub and its licensors retain all rights, title and interest in and to the Platform and the Content. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform and the Content for your personal or internal business purposes only. You may not reproduce, modify, create derivative works of, publicly display, publicly perform, republish, sell, resell or exploit any part of the Platform or the Content without our express written consent.

7. User-generated Content

Certain areas of the Platform may allow you and other users to upload, post or otherwise make available questions, data, reviews, comments, listings and other information (collectively, “User Content”). You are solely responsible for your User Content and warrant that you have all necessary rights to upload or make such content available. You agree that your User Content will not violate any applicable law, third-party rights or contain any false, misleading, defamatory or illegal material. By posting User Content on the Platform, you grant Business Brokers Hub a worldwide, irrevocable, non-exclusive, royalty-free licence to use, copy, adapt, edit, publish and distribute such User Content in connection with operating and promoting the Platform. You also grant each user of the Platform a non-exclusive licence to access and use your User Content as permitted through the functionality of the Platform. We reserve the right (but not the obligation) to monitor, remove or modify any User Content that we determine, in our sole discretion, violates these Terms or is otherwise inappropriate.

8. Privacy & Personal Information

We respect your privacy and process personal information in accordance with our Privacy Policy, which forms part of these Terms. We may collect, store and use personal information (including names, contact details, IP addresses and other data) submitted by Users to administer our Platform and to provide services. We collect only the personal information necessary for these purposes and will not retain it longer than required. We implement reasonable technical and organisational measures to protect your personal information against unauthorised access, loss or misuse. However, you acknowledge that internet-based communications may be intercepted and that the transmission of information over the internet is not entirely secure. You can visit our Platform without registering and without providing personal information; however, the Platform servers may collect your computer’s IP address and certain non-personal statistics.

By using our Platform, you consent to the collection, use and disclosure of your personal information as described in our Privacy Policy and in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). You may request access to the personal information we hold about you, update or correct it, withdraw your consent or request deletion, subject to legal requirements.

9. Cookies

We may use cookies and similar technologies to recognise you when you visit our Platform, personalise your experience, analyse how the Platform is used and enhance security. As a registered user, you are responsible for keeping your password and any one-time PIN confidential and secure. You acknowledge that you are responsible for any actions taken using your login credentials and agree to notify us immediately if you suspect any unauthorised access or other breach of security. Despite our security measures, electronic communications may be intercepted; by using the Platform, you accept this risk.

11. Disclaimers & Limitation of Liability

Subject to sections 43(5) and 43(6) of the Electronic Communications and Transactions Act (ECTA), and to the extent permitted by law, the Platform and all Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Business Brokers Hub makes no representations or warranties regarding the availability, accuracy, completeness, suitability or reliability of the Platform or any Content. Your use of the Platform is at your own risk. Neither Business Brokers Hub nor its directors, employees or agents will be liable for any direct, indirect, special, incidental, consequential or punitive damages arising from or relating to your use of, or inability to use, the Platform or any linked website, including but not limited to loss of profits, loss of data, business interruption or personal injury, even if we have been advised of the possibility of such damages.

12. Indemnity

You agree to indemnify and hold harmless Business Brokers Hub and its affiliates, directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms or any applicable law or the rights of any third party.

13. Third-party Links & Services

The Platform may contain links to third-party websites or services that are not owned or controlled by Business Brokers Hub. We are not responsible for the content, privacy policies or practices of any third-party websites or services. Links to third-party websites are provided for your convenience and do not imply endorsement by Business Brokers Hub. Your use of third-party websites is at your own risk and subject to the terms of use and privacy policies of those websites.

14. Suspension & Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the Platform or any part thereof at any time and for any reason, including if we believe you have violated these Terms or any applicable law. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease, but the provisions of these Terms which by their nature should survive termination (including, without limitation, ownership provisions, privacy obligations, disclaimers, limitation of liability and indemnity) will continue to apply.
